Linkster

1. Acceptance of Terms

By accessing or using the Linkster platform at https://linkster.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including contractors, their team members, and clients who access contractor portals. By creating an account, accepting an invitation, or accessing a client portal, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Linkster is a construction business management platform designed for contractors and their clients. The Service provides tools for managing and streamlining construction business operations, including but not limited to:

• Invoicing — Create, send, and track invoices for construction work
• Estimates — Generate and send project estimates to clients
• Payment Processing — Collect payments online via Stripe
• Job Tracking — Manage active jobs, milestones, and project status
• Team Management — Invite and manage team members within your organization
• Client Portal — Provide clients with secure access to their invoices, estimates, and project information
• Notifications — Send email and SMS notifications for invoices, estimates, payments, and job updates

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of any material changes.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to or use of your account

You are responsible for all activity under your account, including actions taken by team members you invite. You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription Plans and Billing

4.1 Plans

Linkster offers the following subscription plans:

• Free — Up to 5 active jobs, 10 invoices per month, 1 team member
• Pro ($29/month) — Up to 25 active jobs, unlimited invoices, up to 3 team members, Stripe Connect payment collection
• Business ($79/month) — Unlimited jobs, unlimited invoices, unlimited team members, and all premium features

4.2 Billing

Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring monthly basis. All fees are quoted in US dollars and are non-refundable except as required by law.

4.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan at the time of renewal.

4.4 Cancellation

You may cancel your paid subscription at any time through your account settings. Upon cancellation, your paid plan will remain active until the end of your current billing period, at which point your account will be downgraded to the Free plan. You will retain access to your data, but features and limits will adjust to the Free plan.

5. Payment Processing

Linkster uses Stripe and Stripe Connect to facilitate payment processing between contractors and their clients. When a contractor enables online payments, their clients can pay invoices directly through the Linkster platform.

Payment processing services for contractors on Linkster are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By using Stripe Connect through Linkster, you agree to be bound by those terms.

Linkster acts as a platform connecting contractors and clients. We are not a party to the transactions between contractors and their clients, and we are not responsible for disputes, refunds, chargebacks, or the quality of work performed. Any disputes regarding payments for services rendered must be resolved directly between the contractor and the client.

6. SMS/Text Message Terms

Linkster may send SMS (text) messages to users and clients who have provided consent. By opting in to receive text messages from Linkster, you agree to the following:

6.1 Consent

You must provide express consent before receiving SMS messages from Linkster. Consent may be provided through the platform (e.g., enabling SMS notifications in your account settings or through the client portal opt-in flow). Consent to receive text messages is not a condition of purchase, registration, or use of the Service.

6.2 Types of Messages

You may receive the following types of text messages:

• Invoice notifications — Alerts when new invoices are sent or payment is received
• Payment reminders — Reminders about upcoming or overdue payments
• Estimate notifications — Alerts when new estimates are ready for review
• Job updates — Status changes and important updates about projects

6.3 Message Frequency

Message frequency varies depending on your business activity. You can typically expect to receive 1 to 5 messages per month.

6.4 Opting Out

You can opt out of receiving SMS messages at any time by replying STOP to any text message from Linkster. After opting out, you will receive a one-time confirmation message. You may also disable SMS notifications through your account or portal settings.

6.5 Help

6.6 Rates and Carriers

Message and data rates may apply depending on your mobile carrier and plan. Linkster is compatible with major US carriers including AT&T, T-Mobile, Verizon, and others. Carriers are not liable for delayed or undelivered messages. Check with your carrier for details about your messaging plan.

7. User Content and Data

You own your data. All business data you create, upload, or enter into Linkster (including client information, invoices, estimates, job records, and financial data) remains your property.

By using the Service, you grant Linkster a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or your account, except for content shared with other users (e.g., invoices sent to clients) which may be retained as part of their records.

You are solely responsible for the accuracy and legality of the content you provide through the Service. You represent that you have all necessary rights and permissions to use and share any content you upload or enter.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Send fraudulent invoices, estimates, or other deceptive business documents
• Harass, abuse, threaten, or send excessive or unwanted communications to any person
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity
• Scrape, data-mine, or use automated tools to extract data from the Service
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
• Upload or transmit viruses, malware, or any other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any purpose other than legitimate construction business management

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account and reporting them to law enforcement authorities.

9. Intellectual Property

The Service, including its design, features, code, graphics, logos, and all related intellectual property, is owned by Linkster and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

As stated in Section 7, you retain ownership of all business data and content you create within the Service. Nothing in these Terms transfers ownership of your content to Linkster.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKSTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO LINKSTER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Linkster and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any content you create, upload, or share through the Service; or (e) any disputes between you and your clients or contractors arising from the use of the Service.

12. Termination

By Linkster: We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise objectionable. In cases of material breach, we may terminate immediately. For other violations, we will make reasonable efforts to notify you and provide an opportunity to remedy the issue before termination.

By You: You may delete your account at any time through your account settings. Upon deletion, your subscription will be canceled and your account data will be scheduled for permanent removal. Note that data already shared with clients (e.g., invoices, estimates) may be retained as part of their records.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 7, 10, 11, 13, and 14.

13. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at support@linkster.app. We will work in good faith to resolve the matter within thirty (30) days.

If the dispute cannot be resolved informally, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Alabama, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions. Any legal action arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Alabama.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you through the Service or via email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
